VANCOUVER, British Columbia – TheNewswire – May 17, 2023 – FRX Innovations Inc. (TSXV:FRXI) (FSE:W2A.F) (OTC:FRXIF) (“FRX” or the “Company”), previously announced that, as a result of delays in completion of its audit, caused by involuntary changes in its auditors, the Company had not filed its annual financial statements and accompanying management’s discussion and analysis for the fiscal year ended December 31, 2022 (the “Annual Filings“) by April 30, 2023, being the date that such filings are due under applicable Canadian securities law requirements. The Company was granted a management cease trade order (the “MCTO”) by the Ontario Securities Commission on May 02, 2023.

 

The Company reports that MNP LLP is working diligently to complete the audit.

 

The Company further confirms that there are no material undisclosed items. Until the Company files the Annual Filings, it will comply with the alternative information guidelines set out in National Policy 12-203. The guidelines, among other things, require the Company to issue bi-weekly status reports by way of a news release so long as the Annual Filings have not been filed.

 

During the MCTO, officers, directors, and other special relationship persons are in a blackout period for the duration of the (anticipated) default and have been advised of this by the Company.
